These Terms and Conditions govern the use of services, information, and materials provided by FRAYM. By engaging with FRAYM or using this website, you acknowledge that you have read, understood, and agreed to these Terms.

1. Nature of Services

FRAYM operates as an independent international project advisory and development consultancy providing strategic, technical, and coordination services in relation to real estate and construction projects, particularly within Southeast Asia, including Indonesia.

The role of FRAYM is primarily focused on assisting clients in navigating complex development processes by offering guidance, structuring advice, and coordination support across various stages of a project.

This may include:

  • development strategy

  • feasibility and cost evaluation

  • coordination between consultants and contractors

  • project planning and structuring

  • technical advisory and documentation review

  • assistance with project organization and execution planning

FRAYM does not normally act as the licensed construction contractor or property developer responsible for physical construction works unless explicitly stated in a separate written agreement.

2. Independent Advisory Position

FRAYM operates as an independent advisory consultancy.

For construction projects located in Indonesia or other jurisdictions, the physical construction, engineering work, architectural services, permitting, and regulated activities are typically performed by licensed local professionals and contractors engaged directly by the client.

FRAYM may assist in identifying, introducing, or coordinating such parties; however, those professionals remain independent service providers operating under their own licenses, contracts, and legal responsibilities.

This structure allows projects to be carried out in compliance with local regulations while enabling clients to access international advisory support and project coordination expertise.

3. Relationship Between Parties

Nothing in these Terms shall be interpreted as creating:

  • a partnership

  • a joint venture

  • an employment relationship

  • a legal agency relationship

between FRAYM and the client or between FRAYM and any third-party contractors, consultants, suppliers, or service providers.

Each party engaged in a project maintains its own independent legal status and contractual obligations.

4. Engagement of Contractors and Third Parties

During the development of a project, FRAYM may assist clients in identifying or coordinating with third-party professionals such as:

  • architects

  • engineers

  • construction contractors

  • suppliers

  • consultants

  • project managers

Where such parties are engaged, they typically operate under separate agreements directly with the client, and they remain responsible for their own professional services, licenses, and regulatory compliance.

While FRAYM aims to work only with reputable professionals, FRAYM cannot guarantee the performance, financial stability, or operational decisions of independent third parties.

5. Project Estimates and Planning Information

In the early stages of a project, FRAYM may provide preliminary guidance including:

  • budget estimates

  • development scenarios

  • construction timelines

  • feasibility insights

  • project structuring suggestions

Such information is provided for planning purposes only and is based on available market data, professional judgment, and assumptions at the time of preparation.

Due to factors such as:

  • material price fluctuations

  • regulatory changes

  • contractor availability

  • weather conditions

  • site-specific technical challenges

actual outcomes may vary from initial projections.

For this reason, preliminary estimates should not be interpreted as fixed price commitments or guaranteed project outcomes.

6. Limitation of Liability

FRAYM provides advisory and coordination services based on professional experience and good faith efforts.

However, development and construction projects involve numerous external variables outside the control of any single party.

To the maximum extent permitted by applicable law, FRAYM shall not be held liable for indirect or consequential losses including but not limited to:

  • loss of profits

  • investment performance outcomes

  • project delays caused by third parties

  • regulatory or permitting decisions

  • contractor performance issues

  • force majeure events

  • unforeseen technical conditions

FRAYM's total liability in relation to any engagement shall not exceed the advisory fees actually paid by the client for the services in question.

Nothing in these Terms excludes liability where such limitation would be prohibited by law.

7. No Investment Guarantees

Real estate development involves inherent risks.

FRAYM does not guarantee:

  • investment returns

  • rental yields

  • resale value

  • construction cost stability

  • permit approvals

All investment decisions remain the responsibility of the client, and clients are encouraged to obtain independent legal, financial, and tax advice where appropriate.

8. Client Responsibilities

Clients remain responsible for ensuring that appropriate professional advice is obtained in relation to:

  • legal due diligence

  • tax planning

  • regulatory compliance

  • land ownership verification

  • contractor agreements

FRAYM’s advisory services are intended to support project organization and decision-making, but they do not replace licensed legal, tax, or regulatory professionals.

9. Intellectual Property

All materials prepared by FRAYM including:

  • advisory frameworks

  • planning models

  • cost structures

  • written reports

  • visual concepts

  • project strategies

remain the intellectual property of FRAYM unless otherwise agreed.

These materials may not be reproduced, redistributed, or used for other projects without permission.

10. Confidentiality

Both FRAYM and the client agree to treat non-public project information as confidential and to avoid disclosing such information to third parties unless required for project execution or by law.

11. Force Majeure

FRAYM shall not be responsible for delays or failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

  • natural disasters

  • government actions

  • regulatory changes

  • political instability

  • infrastructure disruptions

  • pandemics

In such cases, both parties will aim to resolve the situation through reasonable cooperation.

12. Governing Law and Dispute Resolution

These Terms are governed by internationally recognized principles of commercial practice.

Any dispute arising from services provided by FRAYM shall first be addressed through good-faith discussions between the parties.

If a resolution cannot be reached, disputes may be submitted to arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

The seat of arbitration shall be Singapore and the language shall be English.

13. Non-Circumvention

During the course of cooperation, FRAYM may introduce clients to third-party professionals, contractors, consultants, suppliers, investors, or other participants relevant to the development of a project.

Clients agree that such introductions represent part of FRAYM’s professional value and network.

Accordingly, the client agrees that for a period of 24 months from the date of introduction, they will not intentionally bypass, circumvent, or exclude FRAYM from transactions or projects directly resulting from introductions made by FRAYM where FRAYM’s services were a material factor in establishing the relationship.

If a client proceeds directly with such introduced parties in a way that materially avoids agreed advisory involvement or compensation, FRAYM reserves the right to seek reasonable compensation equivalent to the advisory or coordination services that would ordinarily apply to such engagement.

This clause is intended to preserve fair professional collaboration and prevent misuse of professional introductions.

14. Referral and Introduction Fees

In certain situations FRAYM may receive a referral, coordination, or advisory fee from third-party service providers or contractors participating in a project.

Where such arrangements exist, they are part of standard industry practice for project structuring and coordination.

Such arrangements do not alter the professional independence of third-party contractors nor the client’s right to make final decisions regarding project participants.

FRAYM aims to maintain transparent and professional cooperation with all parties involved in the development process.

15. Direct Engagement with Introduced Parties

Where clients decide to engage directly with architects, contractors, engineers, suppliers, or consultants that were introduced or coordinated through FRAYM, those engagements may proceed under separate agreements between the client and those parties.

FRAYM may continue to provide advisory or coordination services under a separate consultancy agreement if requested by the client.

Where FRAYM remains involved in the coordination or advisory role, applicable consultancy or coordination fees may apply as agreed between the parties.

16. Intellectual Contribution and Continued Use of Work

All materials, concepts, advisory frameworks, development strategies, project structuring recommendations, technical coordination work, and other professional contributions prepared or provided by FRAYM in connection with a project remain the intellectual and professional work product of FRAYM until the applicable consultancy fees have been paid in full.

Clients are granted a non-exclusive right to use such materials solely for the purpose of evaluating or implementing the project for which the services were originally provided.

Where a client chooses to suspend, terminate, or discontinue advisory services with FRAYM but continues to utilize, implement, or benefit from project structures, contractor introductions, design coordination, feasibility work, technical recommendations, or development strategies originally prepared by FRAYM, the client agrees that such continued use may constitute ongoing reliance on FRAYM’s professional contributions.

In such cases, FRAYM reserves the right to seek reasonable compensation for the continued use of such work product or advisory contributions, proportionate to the services originally provided.

Nothing in this clause restricts the client’s ownership of the underlying real estate asset or the right to proceed with development; however, the intellectual and advisory contributions forming part of the project structuring remain protected professional work.

17. Independent Contractor Responsibility

FRAYM provides advisory, coordination, and project structuring services in connection with real estate and construction developments. Unless expressly stated in a separate written agreement, FRAYM does not act as the construction contractor, builder, engineer of record, architect of record, or licensed project developer.

Construction works, engineering implementation, design execution, and regulatory compliance are carried out by independent licensed architects, engineers, contractors, and other professionals engaged directly by the client or recommended as part of the project team.

Each such professional or contractor remains solely responsible for the services they provide, including construction methods, structural integrity, engineering compliance, workmanship, safety standards, regulatory permits, and adherence to applicable laws and building regulations.

FRAYM’s role may include advisory input, coordination assistance, and strategic recommendations intended to support the development process. However, final decisions regarding contractor selection, construction execution, and project implementation remain with the client and the respective licensed professionals engaged for the project.

Accordingly, FRAYM shall not be held responsible for construction defects, contractor performance, project delays, cost overruns, engineering miscalculations, regulatory issues, or other matters arising from the execution of work performed by third-party professionals or contractors.

Clients acknowledge that development projects involve multiple independent parties and professional disciplines, each operating under their own responsibilities and contractual obligations.

18. Professional Standards and Advisory Integrity

FRAYM provides its advisory and coordination services based on professional judgment, industry experience, and the practical realities of real estate development and construction in tropical environments such as Bali, Indonesia.

While every effort is made to provide accurate recommendations, project planning insights, and technical coordination support, development projects inherently involve variables outside the control of any single advisor, including regulatory changes, contractor performance, supply chain conditions, environmental factors, and market dynamics.

Accordingly, FRAYM provides its services on a professional best-efforts basis, offering strategic guidance and coordination support intended to assist clients in making informed project decisions.

Clients acknowledge that advisory recommendations represent professional guidance rather than guarantees of specific outcomes.

19. Development Risk Acknowledgment

Real estate development and construction projects involve a number of technical, financial, regulatory, and operational risks that are common within the industry.

By engaging FRAYM’s advisory services, clients acknowledge that such projects may be influenced by factors including but not limited to:

  • regulatory or permitting processes

• contractor and supplier availability

• construction cost fluctuations

• environmental conditions

• design or engineering adjustments

• logistical or material supply challenges

FRAYM aims to assist clients in identifying and navigating such variables through strategic planning, professional coordination, and technical advisory support; however, the presence of such factors is an inherent part of development projects.

Clients are encouraged to conduct their own independent due diligence when making investment or construction decisions.

20. Transparent Collaboration Model

FRAYM operates through a collaborative development model that combines advisory expertise, technical coordination, and the engagement of qualified independent professionals across various disciplines required for real estate development.

Depending on the scope of the project, this may include collaboration with architects, engineers, contractors, designers, surveyors, and other specialists necessary for the realization of a project.

This collaborative approach reflects the multidisciplinary nature of modern development projects and allows clients to benefit from specialized expertise across each stage of the process while maintaining flexibility in project structuring.

FRAYM’s role focuses on strategic planning, coordination, and development support to assist clients in navigating the complexity of project execution.

21. Concept and Design Protection

During the course of advisory or development planning services, FRAYM may prepare or coordinate conceptual materials, development frameworks, spatial planning ideas, construction approaches, prefabrication strategies, façade systems, architectural concepts, and other project-related intellectual contributions.

Unless otherwise agreed in writing, such conceptual materials are provided to the client for the purpose of evaluating and implementing the specific project for which they were prepared.

Clients are welcome to proceed with the development of their project with the professionals of their choice; however, the replication, redistribution, or commercial use of FRAYM’s original project concepts, development strategies, technical frameworks, or design coordination work in unrelated projects or for third-party developments without prior written consent may require appropriate authorization or licensing from FRAYM.

This provision is intended to respect the intellectual and creative contribution involved in early-stage development planning while allowing clients full flexibility to proceed with their project.
